2026 Toast x Untappd for Business Referral Giveaway Terms

Next Glass, Inc. (the “Company”) has established these giveaway terms (these “Giveaway Terms”) to provide certain sales referral incentives to eligible participants who are employed by or on behalf of Toast, Inc. (“Toast”). The terms and conditions of this Giveaway Terms are set forth below and in Appendix A.

Eligibility

In order to participate in the Giveaway Terms, a participant must be in good standing with Toast (as determined solely by leadership of Toast and its affiliates, respectively). A participant will cease to be eligible to participate in this Giveaway Terms, and thus will not have earned any amounts under the terms of this Giveaway Terms, for any of the following reasons (such determination to be made by the Company’s CEO and in accordance with applicable law):

Such participant’s employment Toast is terminated for any reason.
Such participant violates any Company standards of conduct as communicated to participants from time to time, or any law, rule, or regulation applicable to such participant.

No Employment Contract

These Giveaway Terms does not intend to form, constitute, express, or imply a contract of employment. It is not a binding commitment on the part of the Company to provide employment to any employee for any specified period of time under any specified conditions. The participant’s employment relationship will at all times remain solely with Toast.

Individual Compensation Giveaway Terms

The specific terms and conditions related to a given participant’s opportunity will be set forth in Appendix A, attached hereto.
Amounts earned pursuant to this Giveaway Terms will be made from Company to Toast, and Toast will reward the applicable participant in accordance with Appendix A.

Taxes

Participant will be solely responsible and liable for any tax consequences (including but not limited to any interest or penalties) as a result of participation in this Giveaway Terms or the receipt of any award made to such participant pursuant hereto, and participant, and not Company, must remit all applicable taxes under federal, state, and local laws, rules, and regulations. Participant acknowledges and agrees that Company will not withhold or remit any taxes, and will indemnify, defend, and hold harmless Company for, from, and against any and all such taxes, penalties, and/or interest. Additionally, participant understands that state and/or local jurisdictions may impose supplemental taxes, which will be applicable to, and payable solely by participant.
The Company is not providing any advice or makes any commitment or guarantee regarding any U.S. or non-U.S. federal, provincial, state, local, or other tax treatment that may apply or be available to any participant participating or eligible to participate hereunder and assumes no liability whatsoever for the tax consequences to any participant. Each participant is urged to consult with their tax, financial, accounting, and other advisors related to participation in this Giveaway Terms and the receipt of any awards thereon.

Liability

IN NO EVENT WILL COMPANY BE LIABLE TO PARTICIPANT FOR ANY SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING LOSS OF BUSINESS OR PROFITS) ARISING OUT OF OR IN CONNECTION WITH THIS GIVEAWAY TERMS, WHETHER BASED ON BREACH OF CONTRACT, BREACH OF WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE, AND WHETHER OR NOT THAT PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE; AND THE AGGREGATE CUMULATIVE MONETARY LIABILITY OF COMPANY TO PARTICIPANT FOR ALL CLAIMS ARISING UNDER OR RELATING TO THIS GIVEAWAY TERMS, NOTWITHSTANDING THE FORM IN WHICH ANY ACTION IS BROUGHT, WHETHER IN CONTRACT, TORT OR OTHERWISE, WILL BE LIMITED TO $100.

Administration of Giveaway Terms

The Company will administer these Giveaway Terms. All of the determinations to be made or actions to be taken, pursuant to this Giveaway Terms will be made by the Company’s CEO, in the CEO’s sole and absolute discretion, in accordance with applicable law. In any instance where the terms of this Giveaway Terms conflict with applicable law, the applicable law will govern.
These Giveaway Terms may be amended or terminated, and any participant’s participation in this Giveaway Terms may be terminated, at any time in the sole and absolute discretion of the Company, provided that no such amendment or termination will adversely affect any Giveaway Terms amounts already earned by a participant prior to such amendment or termination. If a participant ceases to be eligible to receive amounts from the Giveaway Terms for any reason, the participant will not have earned and thus not be entitled to receive any additional amounts any kind pursuant to this Giveaway Terms entered into between the Company and any account after the date of the ineligibility, or any fees invoiced to or collected from any accounts after the date of ineligibility.

Miscellaneous

These Giveaway Terms constitutes the sole and entire agreement of the parties with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter. If any term or provision of this Giveaway Terms is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of this Giveaway Terms or invalidate or render unenforceable such term or provision in any other jurisdiction. The parties are independent contractors, and this nothing in Giveaway Terms shall be construed to create any association, partnership, joint venture, employee, or other relationship between participant and Company for any purpose. Each party is responsible for its own expenses, and there shall be no sharing of costs or requirement for reimbursement between the parties. All notices, requests, consents, claims, demands, waivers, summons and other legal process, and other similar types of communications hereunder must be in writing and addressed to the then-current contact point of the other Party. These Giveaway Terms and all matters arising out of or relating to this Giveaway Terms are governed by, and construed in accordance with, the laws of the State of Delaware, without regards to its conflicts of laws provisions. The parties agree to exclusive venue of State and Federal courts located in Wilmington, Delaware. The prevailing party in any dispute hereunder shall be entitled to recover its attorneys’ fees and expenses. Except as expressly set forth in this Giveaway Terms, the exercise by either party of any of its remedies under this Giveaway Terms will be without prejudice to its other remedies under this Giveaway Terms, at law or equity, or otherwise. Company reserves the rights to modify the terms of this Giveaway Terms at any time upon notice to participant; provided, however that no modification shall impact any Giveaway Terms fees due and owing to participant at such time. Participant shall not assign, transfer, delegate, or subcontract any of its rights or obligations under these Giveaway Terms without the prior written consent Company. Company may freely assign this Giveaway Terms upon notice to participant. Any purported assignment or delegation in violation of this Section shall be null and void. These Giveaway Terms will inure to the benefit of and be binding upon each of the parties and each of their respective permitted successors and permitted assigns. The parties do not confer any rights or remedies upon any person other than the Parties and their respective successors and permitted assigns. These Giveaway Terms may be executed in counterparts, each of which is deemed an original, but all of which together constitutes one and the same agreement. Delivery of an executed counterpart of this Giveaway Terms electronically, including via PDF through email or via electronic signature, shall be effective as delivery of an original executed counterpart of this Giveaway Terms.

Program Overview

The Toast x Untappd for Business Referral Giveaway (the “Program”) is a promotional incentive designed to reward eligible Toast sales representatives (“Participants”) for referring qualified businesses that become customers of Untappd for Business (“UTFB”). The Program aims to increase qualified UTFB referrals, strengthen the Toast x UTFB partnership, and recognize top-performing partners throughout the year.

Participation in the Program constitutes full and unconditional acceptance of these Official Terms & Conditions.

Eligibility

The Program is open to active Toast sales representatives in good standing during the Promotion Period.
Participants must be eligible to participate in incentive programs in accordance with Toast’s internal policies.
Employees of Untappd for Business / Next Glass and their immediate family members are not eligible to participate.
Participation is voluntary and subject to all applicable Toast policies, codes of conduct, and incentive program guidelines. The Program is void where prohibited by law or employer policy.

Promotion Period

The Program begins at 12:00:00 AM ET on January 1, 2026 and ends at 11:59:59 PM ET on December 31, 2026 (the “Promotion Period”).

Definition of a Qualified Referral

For purposes of this Program, a “Qualified Referral” is defined as a business referral submitted by a Participant that:

Results in a Closed-Won sale in Untappd for Business’ CRM system, and
Successfully completes onboarding and activates its Untappd for Business account, and
Remains active and in good standing (i.e., not canceled, refunded, or reversed) for a minimum of thirty (30) days following activation.

Only referrals meeting all criteria above will be counted toward monthly drawings and the annual Grand Prize.

Untappd for Business’ CRM records shall serve as the sole system of record for determining referral status, qualification, and eligibility.

Program Structure
Monthly Drawing

How to Earn Entries

Each Qualified Referral earned within a calendar month equals one (1) entry into that month’s drawing
Participants may earn an unlimited number of entries per month.

Minimum Threshold

A minimum of five (5) total Qualified Referrals across all Participants must be achieved within a given calendar month for the monthly prize to be awarded.
If the minimum threshold is not met, the monthly drawing will not occur and no prize will be awarded for that month. Entries will not roll over.

Monthly Prize

One (1) winner per month will receive a $1,000 Marriott Gift Card.
The winner will be randomly selected from all eligible entries for that month.
The winner will be announced at the beginning of the following month via the Program newsletter.

Annual Grand Prize

Eligibility

The Annual Grand Prize will be awarded to the Participant with the highest total number of Qualified Referrals during the Promotion Period, provided the Participant meets the minimum threshold outlined below.

Minimum Threshold

To be eligible to receive the Annual Grand Prize, the top-performing Participant must achieve a minimum of ten (10) Qualified Referrals during the Promotion Period.
If no Participant meets this minimum threshold, the Annual Grand Prize will not be awarded.

Grand Prize

The Annual Grand Prize consists of a $10,000 Hawaii vacation or surprise destination trip, fulfilled by Pack Up + Go.
The prize includes travel for two (2), hotel accommodations, rental car, and curated activities, subject to Pack Up + Go’s terms, conditions, and availability.
Prize details, inclusions, and timing are subject to Pack Up + Go policies and limitations.

Tiebreaker

In the event that two or more Participants are tied for the highest number of Qualified Referrals and meet all eligibility requirements, the winner of the Annual Grand Prize will be determined based on the highest total Closed-Won revenue generated for Untappd for Business from the Participant’s Qualified Referrals during the Promotion Period.
If a tie still remains after applying this criterion, the winner will be selected via a random drawing conducted by Untappd for Business / Next Glass.
All tiebreaker determinations are final and binding.

General Conditions

Untappd for Business reserves the right to:
- Verify the validity of referrals and disqualify referrals that do not meet Program requirement
- Modify, suspend, or terminate the Program at any time for business, compliance, or legal reason
- Substitute prizes of equal or greater value if necessary
All decisions by Untappd for Business regarding Program eligibility, referral qualification, and prize awards are final and binding.
Participants are solely responsible for any federal, state, local, or other taxes, fees, or charges associated with the receipt or use of any prize. Untappd for Business will not provide tax advice and may issue required tax documentation as applicable.

Limitations

Untappd for Business and its affiliates are not responsible for:

Lost, delayed, misdirected, or improperly tracked referral
Technical failures affecting referral submission or tracking
Changes, delays, or cancellations imposed by Pack Up + Go or other third-party travel providers
Actions, omissions, or services of third-party providers, including Pack Up + Go, airlines, hotels, or other travel vendors.
